These Terms of Service ("Terms") govern your use of the website, newsletter, and consulting services operated by PBJay, LLC ("PBJay," "we," "us," or "our"). By accessing our website, subscribing to our newsletter, or engaging our consulting services, you agree to these Terms. If you do not agree, please do not use our website or services.
You may use our website and newsletter only for lawful purposes. You may not misuse the site, interfere with its operation or security, attempt unauthorized access, introduce malicious code, unlawfully scrape or harvest information, impersonate another person, infringe intellectual-property or privacy rights, or use our services to violate any law or harm another person. We may restrict access when reasonably necessary to protect PBJay, our users, clients, or systems.
Content published through the PBJay newsletter and website is provided for general informational and educational purposes only. It does not constitute legal, financial, tax, or professional advice, and it is editorially independent from PBJay's paid consulting services. Vendors and tools featured editorially are not endorsements of guaranteed performance.
Consulting services are provided under a separate written proposal or Statement of Work ("SOW") agreed between PBJay and the client. The specific scope, deliverables, and timelines for each engagement are set out in that proposal or SOW, not in these Terms. Where these Terms and an executed SOW conflict, the SOW governs the applicable engagement.
Where a consulting engagement requires access to a client's Amazon seller account, access is granted using Amazon's Authorized Partner and User Permissions features. PBJay never requests, and clients should never provide, passwords, primary account credentials, or access keys. Clients are responsible for granting and managing appropriate account permissions and for the accuracy of information they provide to PBJay.
PBJay does not guarantee any specific sales, ranking, account health, reinstatement, advertising, or other marketplace outcome as a result of our consulting services. Amazon and other marketplaces control their own policies, algorithms, and enforcement decisions, which are outside PBJay's control.
All content on our website and in our newsletter, including text, graphics, and branding, is owned by PBJay, LLC or its licensors and is protected by applicable intellectual property laws, unless otherwise noted. You may not reproduce or distribute our content without permission, except as permitted by law. Ownership of consulting deliverables is addressed in the applicable SOW.
Our website and newsletter may contain links to third-party websites, vendors, or tools that are not owned or controlled by PBJay. We are not responsible for the content, policies, or practices of any third-party sites or services.
PBJay may receive compensation when a reader purchases through certain links, at no additional cost to the reader. We identify affiliate relationships clearly at or near the relevant content and maintain an Affiliate Disclosure page. Compensation does not guarantee favorable coverage, placement, or results.
Client information shared with PBJay is used only to provide the authorized services described in the applicable SOW. Amazon seller and customer data accessed through client engagements is not used to train AI models and is not used for cross-client analytics. Further confidentiality obligations may be set out in the applicable SOW or a separate confidentiality agreement. See our Privacy Policy for more information about data handling.
Consulting fees, payment schedules, cancellation terms, and any engagement-specific refund provisions are stated in the applicable proposal or SOW. Unless that agreement says otherwise, fees for work already performed are non-refundable, and either party may end an engagement by written notice. PBJay will refund any prepaid fees for work not yet performed after deducting amounts properly due.
To the fullest extent permitted by law, the website, newsletter, and consulting services are provided “as is” and “as available.” PBJay disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted availability, error-free content, or any particular business or marketplace result.
To the fullest extent permitted by law, PBJay's liability arising from your use of our website, newsletter, or consulting services is limited as described in this section. Specific liability caps and excluded damages are as follows: PBJay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities. PBJay’s total liability arising from the website, newsletter, or an engagement will not exceed the fees the client paid PBJay for the affected services during the six months preceding the event giving rise to the claim. These limits do not apply where prohibited by law.
You agree to indemnify and hold PBJay, LLC harmless from claims arising out of your misuse of our website, newsletter, or services, or your violation of these Terms. Specific indemnification terms are as follows: you agree to defend, indemnify, and hold harmless PBJay, LLC and its members, personnel, and service providers from third-party claims, losses, liabilities, damages, and reasonable costs arising from your unlawful misuse of the website, newsletter, or services; your breach of these Terms; or your infringement of another person’s rights. This obligation does not apply to the extent a claim results from PBJay’s own gross negligence or willful misconduct.
The governing law, jurisdiction, and dispute resolution process applicable to these Terms are as follows: these Terms are governed by Utah law, without regard to conflict-of-law rules. Before filing a claim, each party agrees to give written notice and attempt in good faith to resolve the dispute for 30 days. Any unresolved action must be brought in the state or federal courts serving Washington County, Utah, and each party consents to their jurisdiction, except where applicable law requires otherwise.
PBJay is an independent provider of ecommerce publication and consulting services and is not affiliated with, sponsored by, or endorsed by Amazon.com, Inc. or its affiliates. Amazon, the Amazon logo, and related marks are trademarks of Amazon.com, Inc. or its affiliates.
We may update these Terms from time to time. Material changes will be reflected by an updated effective date. Our process for notifying users of changes is as follows: the revised Terms will be posted on this page with an updated effective date. When changes materially affect an active consulting engagement, we will also provide notice through the client’s business email or another agreed communication channel.
